Article 1 Purpose and Scope
These Terms of Service are designed to establish the rights and responsibilities between users and members, and HAON PTE. LTD. (henceforth referred to as "the Company"), in relation to the comprehensive services (refer to the definition of terms in Article 2, Clause 1, subsequently known as the "NUMINE Service"). This includes the use of the Company's services available through third-party websites or platforms. It should be noted, however, that for the NUMINE onboarding game, which operates independently by a third party and is not part of the NUMINE Service, the specific terms and conditions of that game will take precedence

By utilizing the NUMINE Service, users acknowledge their legal adulthood and capacity to engage with the service, implying they fully grasp and consent to the service's terms and conditions outlined in these Terms of Service. Should a user or member lack the legal capacity to engage with the NUMINE Service or disagree with its usage terms, they are required to cease all attempts to access or utilize the NUMINE Service

Users and members concur that while engaging with the NUMINE Service, it's acknowledged that any and all services can be altered or halted at any moment due to factors such as changes in blockchain technology, environmental considerations, and other relevant issues. Engaging with the NUMINE Service, or any service directly linked to it, signifies acceptance of the stipulations mentioned in this document.
Article 2 Definition of Terms
1. NUMINE Service: This term encompasses a suite of services provided by NUMINE.IO (numine.io), including the NUMINE Application, detailed as follows:

Digital Asset Information Provision: A service that delivers key details on digital assets, including the pricing of NUMINE TOKENS and tokens from games integrated with NUMINE. For further information, consult Article 3, Clauses 2.

Game Information Provision: Users and members can access comprehensive details about games incorporated into NUMINE through the platform's game information portal.

NUMINE App: This service, powered by blockchain technology and based on the Avalanche Subnet, provides an online electronic wallet that allows users to manage essential blockchain service credentials like private keys and passwords. It supports functionalities such as purchasing, trading, and exchanging through PCs, mobile apps, and websites. Detailed information is provided in Article 3, Clause 3.



2. Member: Describes an individual who has linked their NUMINE App account in accordance with Company protocols and utilizes the NUMINE Service.

3. User: Identifies an individual engaging with the NUMINE Service without linking a NUMINE App account.

4. Game: : Includes all sorts of electronic video games.

5. Digital Asset: Not solely confined to blockchain technology, this term includes all blockchain-based entities or data such as cryptocurrencies, game tokens, coins, NFTs, and other derivative digital assets.

6. NFT (Non-fungible Token): Represents a unique digital asset on the blockchain that cannot be exchanged on a one-to-one basis with other tokens. Within the Service, selected in-game items items are offered as NFTs.

7. Cryptocurrency: Refers to both coins (cryptocurrencies issued on an independent blockchain network mainnet) and tokens (issued on a mainnet like an open public chain without an independent blockchain network mainnet). The NUMINE TOKEN, serving as the principal currency on the NUMINE Platform, facilitates exchanges with game tokens and acts as a medium for purchases.

8. NUMINE Token: A digital asset issued based on the Avalanche L1, utilized across services such as the NUMINE App and game services that are founded on the Avalanche L1.

9. Game Token: Tokens that enable access to game services on the NUMINE platform or act as a medium of exchange, such as for buying game items.

10. Private Key: A unique code, comprising a random mix of numbers and letters, matched one-to-one with the address of the NUMINE App, crucial for executing all signatures within these blockchain networks. Given its capacity to authorize signatures, it necessitates stringent security measures to prevent unauthorized third-party use.

11. NUMINE Platform: Represents the entirety of blockchain-based services provided by the Company, including but not limited to the NUMINE App, the NUMINE NFT MARKET, and the NUMINE GAME PLACE.
Article 3 Service
The Company provides a diverse array of services including, but not limited to, purchasing, trading, or exchanging content on the NUMINE Platform. To access these services, including the creation of a NUMINE Wallet and engagement with games, users and members must hold a registered account. Please note, product information, pricing, and the availability of items on the NUMINE Platform are subject to change without prior notice.

1. Detailed Guide Terms by Services: Before engaging with any service offered by the Company, users and members are encouraged to review the Service Usage Guidelines thoroughly. These guidelines outline the appropriate usage, necessary precautions, and potential fees associated with our services. Please be aware that due to the immutable nature of blockchain technology, transactions involving digital assets, including purchases, are final and non-refundable.

2. NUMINE App: NUMINE Wallet is an online service for digital asset management based on the Avalanche L1. Utilization of this service requires credentials such as a password, private key, and recovery phrase. The Company cannot restore or manage these credentials; thus, users bear full responsibility for their management. The Company is not liable for any loss of information. Service features may include but are not limited to storage, transfers, exchanges, and trades, subject to expansion. The Company disclaims all guarantees regarding service integrity and is not liable for any losses or rewards. Services may be modified or suspended due to changes in the blockchain network or other factors. Usage implies agreement with these stipulations.

These Terms of Service are crafted to ensure a mutual understanding of the responsibilities and expectations between the Company and its users, underpinning our commitment to providing a secure, reliable, and transparent service environment.
Article 4 Use of NUMINE Service
1. Amendments to the Terms of Service:The Company reserves the right to amend, modify, or update these Terms of Service at its discretion, provided such changes comply with applicable laws and regulations. Notifications of any such changes will be communicated through electronic means, including but not limited to, email notifications, service announcements, or pop-up messages within the Service interface. By continuing to use the Service post-amendment, users and members signify their agreement to and acceptance of the updated terms. Those who do not accept the revised Terms of Service have the option to discontinue the use of the Service and withdraw their membership at any time. The date of the latest update to these Terms will be prominently displayed at the beginning of the document.

2. User Registration and Account Creation:To access the Service, individuals must follow the specified registration process for either the NUMINE App, as outlined below. Users bear full responsibility for any inaccuracies in their registration details, including incorrect IDs or passwords. It is important to note that the Company does not store or manage passwords or recovery phrases created during the registration process, and cannot assist in their recovery if lost.

NUMINE App Registration Procedure: Download and install the NUMINE application.
Sign in using a social media account (Google).
Accept the terms and conditions.
Create an ID.
Set up a pin number to be used for all transactional signatures, such as digital asset transfers and service agreements.
Completion of App creation.

3. User and Member’s Consent and Negligence:By utilizing the Company’s Services, users and members affirm their compliance with applicable laws, and acknowledge the following:
They possess the requisite knowledge to engage with digital items and blockchain-based systems, fully understand their mechanisms, and are cognizant of the benefits, risks, and any restrictions associated with digital assets.
They will not use the Service for, or engage in, any illegal activities.
They are the sole controllers of their account credentials and do not act on behalf of third parties.
For enhanced service experience, the Company may present various notifications, administrative messages, and promotional content through the Service interface or via email. Users wishing not to receive such communications are encouraged to contact our customer service at contact@numine.io.

4. Warranty and Disclaimers:The Service may feature content from the Company’s partners, vendors, game developers, etc., and include links to third-party websites and services. These are provided for user convenience, and the Company neither guarantees nor endorses the safety, legality, or compliance of any third-party content. The Company disclaims any responsibility for the maintenance of materials from external sites, offering no warranties or endorsements for such content or services. The Company is not liable for any damages, losses, or effects arising, directly or indirectly, from the utilization of content, goods, or services available via third-party channels. Users are advised that these third-party services may operate under their own policies, for which the Company assumes no responsibility or liability.

5. Service Maintenance and Updates:The Company reserves the right to implement patches, updates, upgrades, and other modifications to the Services for justifiable purposes, including enhancing functionality or security, or correcting errors. Such updates may occasionally necessitate temporary downtime of the Services. Under specific circumstances, it may be necessary to suspend, withdraw, or disable the Services for extended periods to ensure successful deployment of these updates. Users will be notified of any service suspension through direct communication methods such as email or in-service pop-up notifications. Circumstances beyond the Company's prediction or control are exempt from such prior notifications. Nevertheless, in such exceptional situations, the Company commits to diligently working towards the restoration of Services with minimal delay.

6. User Naming Policy:This Naming Policy governs all user-selected names within the Services offered by the Company. While users are generally permitted to create IDs without restrictions, the Company reserves the right to delete or modify, at its sole discretion, any names found to be in violation of the following policy criteria:
Names that are offensive or derogatory to others, including but not limited to instances of abuse, slander, criticism, or the use of violent language.
Names that promote antisocial behavior or contravene any applicable laws.
Names associated with illegal activities.
Names that slander, defame, or discriminate against any specific group, race, or religion.
Names that potentially infringe on the trademark rights of third parties.
Names that impersonate another user, creating confusion or misrepresentation.
Names with apparent advertising intentions, including those promoting or profiting a specific organization.
Names related to the NUMINE Platform that could mislead regarding the provision of services by the Company. This includes, but is not limited to, impersonating members of the NUMINE Team, Administrators, Operators, Assistants, or NPCs.
Names that slander or show support for specific politicians or political parties.
Any other names deemed detrimental to the healthy operation of the Service.

7. Fraud:The Company defines fraudulent activity as any endeavor deliberately designed to deceive other users for financial gain. In pursuit of maintaining a secure and trustworthy NUMINE Service environment, the Company reserves the right to impose restrictions on users engaged in fraudulent practices. It is important to note that the Company will not provide restitution for losses incurred due to such activities, as these are typically the result of individual negligence or lack of diligence.

8. Account Theft: Account theft encompasses unauthorized activities that compromise the integrity of a member's account information, including but not limited to the NUMINE App’s IDs, passwords, email addresses, assets, private keys, and recovery phrases.
Engaging in account theft constitutes a breach of applicable legal standards. The Company disclaims liability for any resultant civil or criminal proceedings that may ensue. Should it be verified that a user's personal information was illicitly utilized without their permission, the Company may suspend access to the Service for any and all accounts implicated in such misconduct.
In instances of account theft, the Company does not offer compensation for resultant damages, as the responsibility to secure personal information squarely falls upon the user.

9. Failure Recovery Policy:The Company will endeavor to restore digital assets lost due to technical malfunctions or software glitches during Service utilization, contingent upon the Service's capacity to manage such recovery and subsequent verification of the loss. However, data alterations resulting from user or member's personal oversight or negligence are exempt from recovery efforts.

10. Protection and Use of Personal Information: In adherence to applicable laws, the Company is committed to safeguarding the personal information of its members, abiding by both statutory requirements and the Company’s own Privacy Policy regarding the protection and utilization of such information.
It is pertinent to clarify that the Company’s Privacy Policy is exclusive to services directly offered by the Company and does not extend to third-party services linked within. These external services are governed by their respective privacy policies.
In line with Service operations, non-sensitive introductory data, such as nicknames and character images, may be disclosed. The Company ensures that personal information will not be divulged to third parties without the explicit consent of the account holder, except where disclosure is mandated by law enforcement or regulatory bodies.
The Company absolves itself of liability for any harm arising from the exposure of personal information due to reasons attributable to the user or member.
Article 5 Obligations of Contracting Parties
1. Company strictly prohibits the following activities within its Services:
Unauthorized or improper use of another user's or member's account credentials, including account names and passwords.
Uploading or linking to obscene, derogatory, or otherwise inappropriate content within public forums or any areas of the Service.
Violating or infringing upon the rights of the Company, its affiliates, or any third party, including but not limited to copyright infringement.
Causing malfunction to or destruction of hardware or software, disrupting or damaging data related to the Service.
Unauthorized collection, storage, or disclosure of personal information belonging to other members.
Disseminating false information for the purpose of obtaining proprietary benefits for oneself or others, or to inflict harm upon others.
Publishing any material, including software, that is expressly forbidden by applicable laws and regulations.
Falsely impersonating an officer, administrator of the Company or its Partners, or misusing another user’s identity.
Engaging in illegal activities or any actions that hinder the smooth operation of the Service.
Users and members bear sole responsibility for the secure management of their Service-related information, including but not limited to private keys, login credentials, and recovery phrases (“Generated Information”). Such information must not be shared with or used by unauthorized third parties.
In the event that Generated Information is stolen, exposed, lost, or otherwise compromised, the decentralized nature of the Service precludes the Company from offering recovery assistance.
Should a user or member lose access to their NUMINE App, or any Generated Information without having secured a backup, they must accept full responsibility for the loss. Consequently, the Company disclaims any liability for the recovery of lost digital assets.
Once lost, digital assets cannot be reinstated or returned under any circumstances.

2. Suspension on Use of Service:Use of the Service is contingent upon the user's or member's compliance with applicable laws and regulations, as well as adherence to these Terms of Service and all related policies established by the Company. Non-compliance may result in the Company undertaking an investigation into the user’s or member's Service usage and online conduct. Following such an investigation, the Company reserves the right to temporarily or permanently suspend access to the Service based on the findings.

The imposition of suspensions will be subject to the Company's discretion, taking into account the specific circumstances of each case.

In instances where multiple policy violations occur, the Company may enforce the highest applicable penalty or opt for an escalated punitive approach.

Users who engage in disrespectful behavior within the NUMINE Service or disrupt the orderly operation of the Service may face second-level penalties or higher.

For conduct not expressly addressed within the outlined suspension criteria, yet deemed by the Company to potentially cause significant disruption within or outside the NUMINE Service, the Company retains the authority to restrict Service access in alignment with these Terms of Service.

3. Obligations:

By utilizing the Service, users and members acknowledge and accept full responsibility for the security and use of their account login credentials, including usernames and passwords, the safeguarding of registration data provided during account creation, and all activities undertaken through their accounts. Users and members must not disclose sensitive information associated with their Service accounts, such as passwords, recovery phrases, and private keys, to any third parties and are obligated to personally manage and protect such information. Furthermore, users and members agree to adhere to the conditions stipulated below concerning in-game items and digital assets:

The Services provided by the Company encompass all digital platforms and wallets offered through various electronic devices including PCs, tablets, and mobile devices. The Company disclaims all responsibility for issues related to in-game and digital assets.

The Company's liability is confined to the operation and management of the Services and does not extend to acting as a mediator between sellers and buyers of in-game items or digital assets. Users and members bear full and direct responsibility for their transactions and the exchange of information.

The Company cannot access or control individual members’ NUMINE App credentials, including passwords and private keys. Responsibility for the secure management of such credentials rests with the member, who must also ensure the integrity of all transactions through their signature. Members are solely accountable for safeguarding their transaction credentials and enhancing their security.

4. Restrictions on Use in High-Risk Regions:

In an effort to mitigate the risk of illegal activities, such as money laundering, the Company reserves the right to identify and designate high-risk regions in alignment with international standards, including OFAC Sanctioned Countries, and may restrict access to the NUMINE Services within these areas. Currently designated high-risk regions include Cuba, Iran, North Korea, Russia, Syria, Belarus, Burma (Myanmar), Central African Republic, Congo, Ethiopia, Iraq, Lebanon, Libya, Sudan, Venezuela, Yemen, and Zimbabwe. This list is dynamic and may be updated to reflect changes in international guidelines or regulations.
Article 6 Service Termination
If a member wishes to terminate the Service, the member may withdraw membership in accordance with procedures set by the Company through membership withdrawal function.

Users and Members who decide to terminate their Service must adhere to the established termination procedures provided by the Company, accessible through the designated membership withdrawal function.

Access Restrictions: Following withdrawal, members will be denied access to the NUMINE Service, and subsequent use of the Service will be restricted.

Data Deletion: Withdrawal results in the permanent deletion of all data associated with the NUMINE Service for the member, with no possibility of recovery.

NUMINE TOKEN Requirements: To proceed with membership withdrawal, the NUMINE TOKEN balance within your NUMINE Wallet must be zero. Members are required to transfer any remaining NUMINE TOKENS to an alternative wallet address prior to initiating withdrawal. Membership withdrawal is not permitted for members holding any NUMINE TOKEN balance.

Game Token Access: Withdrawal from membership will result in the forfeiture of the ability to locate game tokens, as the right to connect to the NUMINE Wallet will be revoked.

Re-registration Restrictions: Members who have withdrawn their membership cannot re-register using the same email address.

Data Removal: Upon successful termination, the member's data will be purged from the Service. Notwithstanding, it is essential to recognize that, due to the immutable nature of blockchain technology, blockchain-associated data cannot be expunged.

NUMINE Wallet Authority: Members possess full authority over actions such as registration, termination, and digital signature within the NUMINE Wallet. Service termination can be effectuated by the member through the deletion of the NUMINE Wallet and private key, without the need for a formal termination process.
Article 7 Copyright
1. Property of Copyright

All copyrights and other intellectual property rights pertaining to the NUMINE Service and its contents, created by the Company, are exclusively owned by the Company. Users and members are expressly prohibited from utilizing, for commercial gain or otherwise, any intellectual property of the Company or information obtained through the use of the Service, including but not limited to replication, transmission, editing, publishing, performance, distribution, broadcasting, or creation of derivative content, without the express prior written consent of the Company or the relevant provider. The Company authorizes the use of communications, images, sounds, and all materials and information, termed as “User Contents,” which include chat texts related to or displayed within the Service and uploaded or transmitted by members or other users, under the following terms and conditions:

User Contents may be utilized, modified, or edited (including but not limited to publication, replication, performance, transmission, distribution, broadcasting, and creation of derivative content) without restriction on the period or location of use, subject to these terms.

The sale, rental, or transfer of User Contents for commercial purposes without the express prior consent of the original creator of such User Contents is strictly forbidden.

The Company does not utilize User Contents that are not displayed within or integrated into the Service (e.g., posts uploaded in users’ bulletins), and users or members may delete such User Contents at any time.

The Company reserves the right, at its sole discretion, to delete or transfer any posts uploaded or submitted to the Service by users or members without prior notice if deemed a violation of Article 5: Obligations of Contracting Parties, and may reject its application.

Users or members whose rights have been legally infringed upon by information posted in communities or bulletins operated by the Company may request the deletion or refutation of such information. The Company commits to taking prompt and necessary action and will notify the applicant of such actions.

2. Responsibilities

Users and members are strictly forbidden from replicating, transmitting, distributing, or utilizing the Service or any included materials without the express prior written consent of the Company. Moreover, the Service and any materials included therein may not be used for the commercial purposes of an individual. As such, users and members are prohibited from leasing, selling, or transferring the Service or included materials. Furthermore, users and members are barred from deleting, concealing, or editing any content, property rights, intellectual property rights, or any rights associated with the Service. During the use of the Service, users and members must refrain from displaying any third-party products or services, including the names, brands of the Company or any third-party service provider, in a manner that could be confused with or resemble the business or trademarks of such third parties.
This article remains in effect for the duration of the Company's operation and continues to apply indefinitely, following the cessation of use or termination of membership by users or members.
Article 8 Indemnification and Liability Limitations
1. Indemnification for Damage

Both the Company and its users and members are obligated to indemnify and hold each other harmless against any damages arising from the violation of these Terms of Service, except in cases of deliberate misconduct or gross negligence. In instances where the Company has established a partnership with an external service provider, and said service is availed by a user or member under the agreed-upon terms and conditions of that external service, liability for any damages caused intentionally or through negligence by the external service provider shall rest solely with that provider.

2. Limitation of Company’s Liability

Force Majeure: The Company is exempt from liability for failure to render services due to acts of God, natural disasters, or other force majeure events.

Operational Damages: The Company disclaims responsibility for damages not directly attributable to its intentional acts or gross negligence. This includes, but is not limited to, damages arising from compensation claims, replacements, routine maintenance, and infrastructural developments of service facilities.

User Negligence: The Company shall not be liable for service disruptions or failures resulting from the intentional misconduct or negligence of users or members, barring instances where such disruptions stem from unavoidable or justified reasons.

Content Accuracy: The Company assumes no responsibility for the veracity or precision of information and data published by users or members in connection with the Service, except in cases of deliberate falsehood or negligence.

Dispute Intervention: The Company is under no obligation to mediate in disputes or transactions among users, members, or third parties, nor will it bear liability for any resulting damages.

Service Usage: The Company shall not be held accountable for any losses or damages incurred by users or members in the course of utilizing provided services, barring instances of intentional wrongdoing or gross negligence on part of the Company.

Financial Expectations: The Company is not responsible for unmet financial expectations, including anticipated profits or losses incurred by users or members through the Service.

Market Volatility: The Company disclaims liability for the fluctuations in the value of digital assets held by users and members.

Personal Information Security: The Company is not liable for breaches in personal information security, such as those involving NUMINE App IDs, passwords, emails, private keys, etc., attributed to user or member negligence.

Technical Compatibility: The Company bears no responsibility for service incompatibilities due to changes in users' or members' electronic devices, mobile numbers, operating system versions, international roaming status, or telecommunications providers, unless such incompatibilities are directly due to the Company's intentional misconduct or gross negligence.

Data Deletion: The Company is not liable for losses resulting from users' or members' deletion of account information provided by the Company, except in cases of intentional or gross negligence.

Non-Member Usage: The Company disclaims liability for any losses incurred during the use of the service by individuals who are not registered members, barring instances of deliberate misconduct or gross negligence.
Article 9 Legal Framework and Interpretation
1. Applicable Law and Jurisdiction

The interpretation, governance, and enforcement of these Terms of Service shall be exclusively subject to the laws of Singapore. Users and members hereby irrevocably consent to the exclusive jurisdiction of the Singaporean courts for the resolution of any disputes, claims, or legal actions arising from or related to these Terms of Service or the Privacy Policy.

2. Language Provisions

Users and members acknowledge that, for their convenience, translated versions of the English Terms of Service may be made available. However, it is expressly agreed that the English version of these Terms of Service shall govern the contractual relationship between the user or member and the Company.

In case of any inconsistency or conflict between the English version of the Terms of Service and any translation thereof, the provisions of the English version shall prevail and be deemed conclusive.

3. Severability

Should any provision of these Terms of Service be deemed unlawful, void, or for any reason unenforceable under the applicable laws or by the adjudicating authority of a competent jurisdiction, such provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. The remainder of the Terms of Service shall continue in full force and effect.
